Initial public offer of up to 45,97,200* equity shares of face value of
Rs10 each ("Equity Shares") of HP Adhesives Limited ("Company") for cash at a price of Rs274/- per equity share (including a share premium of
Rs264/- per equity share) ("Offer Price") aggregating up to Rs125.96 crore comprising a fresh issuance of up to 41,40,000 equity shares aggregating up to Rs113.44 crores by the company ("Fresh Issue") and an offer for sale of up to 4,57,200 equity shares aggregating up to
Rs12.53 crores by Anjana Haresh Motwani ("Selling Shareholder") and such equity shares offered by the selling shareholder, the "Offered Shares") (such offer by the selling shareholder, the "Offer for Sale" and together with the fresh issue, the "Offer"). The offer would constitute 25.02% of the post- offer paid-up equity share capital of the company.

The face value of equity shares is Rs10 each. The offer price is 27.4 times the face value of the equity shares.
