Initial public offer of up to 57,84,000* equity shares of face value of Rs10/- each ("equity shares") of Shyam Dhani Industries Limited ("the company" or "company" or "issuer") for cash at a price of Rs[*] per equity share (including a share premium of Rs[*] per equity share), aggregating to Rs[*] crores** ("the issue"). This issue includes a reservation of up to 2,80,000 equity shares aggregating to Rs[*] crores (constituting up to [*]% of the post-issue paid up equity share capital of the company) for subscription by the market maker ("market maker reservation portion"). The issue less market maker reservation portion is hereinafter referred to as the "Net Issue". The issue and the net issue will constitute [*]% and [*]% respectively of the fully diluted post issue paid up equity share capital of the company. The company, in consultation with the brlm, may consider a pre-ipo placement of up to 2,86,000 equity shares for cash consideration aggregating to Rs[*] crores, at its discretion, prior to filing of the ("pre-ipo placement"). If the pre-ipo placement is completed, the issue size will be reduced to the extent of such pre-ipo placement, subject to the issue complying with Rule 19(2)(b) of the securities contracts (Regulation) Rules, 1957, as amended ("scrr"). The face value of the equity shares is Rs10/- each. The price band and the minimum bid lot will be decided by the company.
